Dinky Flees the Country

NEWS FLASH !!!!!

PCCI President DINKY SANTOS has fled the country two days after the announcement of the CRIMINAL CASE filed against him at the Department of Justice.  It is believed he has taken refuge in an undisclosed location in the United States.

A REWARD is offered for any information of his whereabouts.  Contact the Bureau of Internal Revenue.

Mula naging Pangulo si Dinky Santos ng PCCI,  ipinahinto niya ang pagbayad ng VAT sa gobyerno.  Ito ay dahil sa maling pagaakala  na kapag isang companya ay tax-exempt awtomatikong VAT-Exempt na rin. Ang kanyang kamangmangan sa batas ay magiging tanging sanhi ng paglubog ng PCCI.

Sinisingil  ngayon ng BIR ang PCCI na higit na P68 Million Pesos dahil sa kaswapangan ni Dinky Santos & company.  Ngayon sino ang biggest looser? – di ang mga PCCI members!!!  HALUS LAHAT ng pera ng club ang gagamitin pambayad ni Dinky sa kapalpakan niya.

Sa wakas Bob, gumawa ka ng tama bilang isang mabuting mamamayan sa PAGSUMBONG  mo kay Kim Henares ng isang  MALAKING tax evader.  Matagal mong alam na dapat magbayad ang PCCI ng VAT pero wala kang ginawa ang dahilan sa pagkatahimik mo ay dahil sa  taon taon ikaw ang nakatokang makipagusap sa BIR examiners at may porsyento ka sa binabayarang lagay.  Mula nang inalis ka sa pwesto,  ginamit mo ang R.A.T.E.  para magkapera muli at the expense of the Club.

Pakiusap lang po, mabuti pa i-donate mo sa PCCI yung P1 Million reward money kasi mas kelangan ng Club ngayon ang pera.  Tapos ka na sa pagiging Good Citizen maging Good Member ka naman!

PCCI Officers Charged with Tax Evasion

Sa 2006, ang unang ginawa ni Dinky Santos bilang Presidente ng PCCI ay pinahinto  nya ang pagbayad ng Value Added Taxes para kunwari na lumaki ang kita ng Club sa pamumuno niya.  Gusto niya iparating sa mga members na di lang siyang magaling na pinuno kundi isa din siyang magaling na negosyante.  Noong panahon noon, madali kausapin ang tauhan ng BIR.  Konting lagay dito at lagay doon ay ayos na ang problema.  Si Bob Cashtanos at Bong Natividad ang nakikipag areglo sa BIR at siyempre kasama na doon ang kanilang porsyentong  patong.  Kawawa ang Club at ito’y naging isang uri   ng gatasan ng tatlong buwaya  ng PCCI – sina Dinky Santos, Bob Cashtanos & Bong Natividad.

Taon-taon  itinawag ng pansin ng BIR examiners yun PCCI sa paglalabag nila ng batas pero bale wala ito sa tatlong buwaya.  Bakit?  Sasabihin lang nila sa Board “The BIR is asking P500,000” at agad agad inaaprubahan ng uto-utong Board members ang illegal na bribe para sa BIR.  Sa totoo lang P50,000 lang napupunta sa BIR examiner at ang natirang P450,000 ay pinaghati-hatian ng tatlong buwaya. Dito sila kumikita ng limpak-limpak na salapi kaya bakit pa nila ihihinto ang ganitong raket?

 

Mga binibini at ginoong members ng PCCI, isa ito na mga dahilan kung bakit ayaw na ayaw ng tatlong buwayas ipabukas ang libro ng PCCI. "OVER MY DEAD BODY" ika ni Dinky kasi hindi nila maitago ang mga illegal na transactions.  Hindi nila mapakita KUNG saan napunta ang pera.  Now you know the real truth and nothing but the truth.

 

Ang masakit dito, hindi sila kundi ang Club, ang ating beloved PCCI ang magbabayad sa kahangalan nila.  Akala ni Dinky habang buhay walang katapusan ang kaniyang maligayang araw.  Habang sila ay  nabubuhay, di mauubusan ang kaniyang CASH COW. Nilagay nila sa alanganin ang Club  and IT WILL COST 68 MILLION PESOS OF MEMBERS MONEY TO FIX THE PROBLEM DINKY CAUSED THE CLUB. May pera pa kaya matitira? This is an act prejudicial to the best interest of the PCCI and is LEGAL grounds for EXPULSION of the entire Board of Directors for MISMANAGEMENT under their watch.

The Bureau of Internal Revenue (BIR) today filed a criminal complaint with the Department of Justice against Philippine Canine Club, Inc. (PCCI), and its responsible corporate officers – Augusto Benedicto S. Santos III (President, 2006 – 2008 & 2010), Ronnie Natividad (President, 2009 & 2011), Bernardito Jalandoni Repaldor (Treasurer, 2006), Danny Ramillano (Treasurer, 2007 & 2008), Johny Filart (Treasurer, 2009), and Emmanuel Santos (Treasurer, 2010 & 2011) – for willful attempt to evade or defeat the payment of Value Added Tax (VAT), and for deliberate failure to file VAT Returns for taxable years 2006 to 2011, in violation of Sections 254 and 255, in relation to Sections 253 and 256, of the National Internal Revenue Code of 1997, as amended (Tax Code).

PCCI is a domestic corporation registered with the BIR and the Securities and Exchange Commission (SEC) with a registered office and business address in Cubao, Quezon City. Its stated purpose is to advance the study, breeding, exhibiting, running and maintenance of purebred dogs through the maintenance of a Registry of purebred dogs, regulating conduct of persons and organizations interested in breeding, registering, selling, purchasing, exhibiting and running purebred dogs and preventing fraud in connection therewith.

The case against PCCI stemmed from a denunciation letter from a complainant-informant alleging that PCCI has been evading and continues to evade the payment of the required VAT since taxable year 2004.

Based on the information and documents gathered in the course of the investigation conducted by the Special Investigation Division of Revenue Region No. 7, Quezon City, it was discovered that PCCI declared with the BIR gross sales of P34.24 million, P31.73 million, P32.92 million, P42.54 million, P37.69 million, and P42.66 million for taxable years 2006, 2007, 2008, 2009, 2010 and 2011, respectively.

Records from the BIR, however, showed that PCCI failed to file its VAT Returns and pay its VAT liabilities for taxable years 2006 to 2011. Since PCCI is engaged in the sale of services in the course of a business pursuit, it is liable to pay VAT.

PCCI, together with its responsible corporate officers, was sued for an aggregate VAT liability covering taxable years 2006 to 2011 amounting to P68.08 million, inclusive of increments.

The case against PHILIPPINE CANINE CLUB, INC., and its responsible corporate officers is the 256th filed under the RATE program of the BIR under the leadership of Commissioner Kim S. Jacinto-Henares. It is likewise a RATE case of Revenue Region No. 7, Quezon City.

April 15, 2013 - Episode 1 THE DRILL

Naguusap sina PCCI Vice Chairman Bob CASHtanos at PCCI Director Alice Juico sa loob ng conference room. (si Alice ang mayhawak ng pinakamaraming proxies sa PCCI.  Sa Philippine politics ang impluwensiya niya sa eleksiyons ay pwedeng ikumpara sa Iglesia votes. Kung kanino pumanig si Alice 100% pasok na sa Board ganun kadami ang mga botong  hawak ng mestiza.  Nang nakaraang taon pumasyal si Alice sa London para manood ng Crufts Dog Show "ALL EXPENSES PAID by PCCI" of course.  Kasama ang kaniyang anak.

Bob: Alice, siguraduhin mong hindi makapasok ang mga tulad ni Atty. Leynes uli sa Board.  That troublemaker!  Kung di dahil sa kanya di tayo mabubuking sa nawalang P7 million pesos, buwisit! May apat na asungot dyan na gustong makapasok huwag kang magkamali at botohin ang kalaban.

May 10, 2013 - Episode 2  RUMOR HAS IT

May 11, 2013 - Episode 3 THE CONFRONTATION

Alice:  Hello Bob, narinig ko si Dikertor XXX at Direktor XXX and XXX tuwing mag aabroad, sa  business class sila  nakaupo  bakit ako sa economy class lang nilagay ni Shirley? You're so unfair!

Bob:  (snapping back at Alice) PCCI didn't have to send anyone to attend the Crufts dog show in London Alice, the trip was meant as a bonus for you. Besides I know kampi ka na kay Bong.  I don't need you Alice, I'm OK by myself. Go to Bong! Go To Bong! (he shouted in a sudden fit of rage as he recalled what Shirley told him the day before) F_CK U!

May 16, 2013 - Episode 4  GROSS REALITY

By this time the mailed -in ballots had been validated and counted by the comelec at the PCCI office...

Bob:  Sanamagan! (Bob is in total shock) Tang Ina!  Hindi ako binoto nina Alice & Damito (Joe Damito is the #2 Top Proxy holder next to Alice Juico and close confidant of Alice). Wala yung pangalan ko sa ballots ng mga hawak nilang proxies. Tarantado! gago! Punyeta! How dare them! They will regret this! I will make them PAY!!!!!

(Bob starts texting the news to his allies and sending hate texts about Alice & Joe Damito)

May 18, 2013 election day. - Episode 5 LET THE BATTLE BEGIN

Sama-sama ang grupo ni Bong sa isang sulok.  Todo irap si Bob sa kanila. Lumapit si Alice...

Alice:  Hello Bob

Bob: Traitor!

Alice:  Why are you mad at me? You said Go to Bong so that's what I did. You know I always follow your advice.

Bob:  I lied! (nanggigigil na) Can't you tell when I'm only joking? (sabay talikod)

Bob: (holding the microphone) Mr. Chairman, I demand you stop the elections!  Declare a failure of elections today.  We are using the 2008 By-Laws and majority of the candidates are ineligible to run because they are OVERSTAYING!

Legal Counsel:  Mr. CASHtanos, you were the one who proposed we adopt the 2003 By-Laws.  Look, its even in the minutes, you yourself made that motion. (Legal Counsel is waiving a copy of the Minutes of the General Assembly meeting in 2012)

Bob:  I don't care! I changed my mind! Stop the elections!

Legal Counsel:  You can file a case in court if you don't agree! Keep in mind if you invoke the 2008 By-Laws now, you  also become an OVERSTAYING DIRECTOR yourself. 

Bob:  If that's the case,  I OBJECT to the Board using Club's money to pay  the legal fees for the  cases I will file against them because that's really illegal! It was  my idea to hire the most expensive lawyers money can buy because they can twist the law, intimidate the judges, manipulate evidence and use every dirty trick in the book to win at all costs.  This will be very unfair to me now that the shoe is on the other foot.

Legal Counsel:  Your comments are noted sir, Can we  now proceed with the elections....

Bob:  And no more using PCCI funds to pay off the judges. It was also my idea  to bribe them at the Court of Appeals and in the criminal cases how do you think we were able to win? On the merits?  No way! But now you cannot do this anymore because I say it's illegal.

Legal Counsel (rolling up eyes his eyes) : NOTED!

Bob storms out of the room mumbling to himself "I'm not finished with them yet."  As faith would have it Bob CASHtanos is finally out of the PCCI  Board but for how long? "Marami akong ebidensiya," Bob declared. He swore to do his  penance by revealing all the dirty laundry about the PCCI in due time.....

IT'S BEEN OVER 5 LONG YEARS AND DANNY IS STILL SCOT FREE NONE OF THE MISSING P7 MILLION PESOS WAS EVER RECOVERED SO IT'S NOW YOUR TURN TO SING BOB SING

Episode 6 THREE DAYS AFTER THE ELECTIONS
Sa PCCI conference room nakaupo si Bong Natividad  sa upuan ng Chairman of the Board, nakapatong ang dalawang paa sa lamesa habang naninigarilyo still gloating over the recent turn of events. Pinatawag niya ang staff.

Bong: EXECUTIVE ORDER #1 persona non-grata na si Bob CASHtanos sa opisinang eto.  Hanggang registration area lamang siya.  Kung sino sa inyo ang mahuli kong nagpapasok kay Bob beyond the boundary TANGGAL sa trabaho!  Did I make myself clear?
Staff:  (chorus) YES SIR!
Bong: Tandaan niyo, I AM WATCHING YOU (sabay tinuro ang mga CCTV cameras sa paligid)
Staff: (chorus) YES SIR! (si Shirley and Annabel mga sip-sip ni Bob halatang nanginginig sa takot)
Nang lumabas na ang mga staff, pumasok ang isang bagong PCCI direktor at umupo sa tabi ni Bong.
PCCI Director:  Bong,  kalat ang balitang  may hawak si Bob na madaming ebindensiya laban sa iyo at handa niyang ibulgar.  Mag-ingat ka.
Bong:  Subukan niya!  Ibubuking ko din siya!  Akala ba niya wala akong kopya din ng mga ebidensiya laban sa kaniya?  Magugulat ka sa mga documentong nasa kamay ko.(sabay nagsindi ng panibagong  Marlboro)

Sirs:

I am writing you not as a former candidate for the Board of Directors, but as a regular member of the Philippine Canine Club, Inc. (PCCI) to put on record my objection to the participation in the last annual general elections of Messrs, Augusto Benedicto Santos III, Ronnie Natividad, Eugene Reyes, Roland Gapus, Emmanuel Santos, Godofredo Salud and Emiliano Valdes (hereinafter collectively referred to as Santos & Co. for convenience), and to ask them to desist from assuming the office or exercising the functions of members of the Board of Directors.

I received a letter from Atty. Jose Sibal that dealt with 2 issues, namely, inspection of the books of PCCI and the eligibility of certain nominees for candidacy as members of the Board.  I thought I had no business being involved in his issues with PCCI until I discovered anomalies committed in the conduct of the general membership meeting and election of directors last May 18, 2012.

During the latter part of that meeting I noticed that a copy of the 2003 PCCI By-Laws was inserted in the meeting kit.  Piecing this manipulative act together with the fact that there was an unusually large number of members who voted by mail, I got the impression that the membership was deliberately being misled about the governing election rules.  I discussed the matter with the PCCI legal counsel who was then present and I pointed out to him that the 2008 By-Laws should have been followed because it is the one that is effective, having been superseded the 2003 By-Laws.

I argued that if the 2008 By-Laws is to be applied, Santos & Co., would be barred from election to the Board having already served two (2) consecutive terms.  Surprisingly, he had the opposite view saying that since the case of PCCI (CA vs Judge Hernando, CA-GR SP No. 107516) concerning the implementation of the 2008 By-Laws for the termination of membership of certain PCCI members is not yet fully terminated, the 2003 By-Laws should apply for the purposes of the general membership meeting.  If he honestly believed in his position and if he led the ineligible candidates to commit such flagrant disregard of the By-Laws, I would have to say he is dead wrong in serving the interests of individuals whose collective action in inimical to the interest of PCCI.  Consider the following:

1.       The 2008 By-Laws was duly approved by the Securities and Exchange Commission on August 22,     2008 and effective under the law. (Sec 48, Corporation Code “xxx the amended pr new by-laws shall only be effective upon the issuance by the Securities and Exchange Commission of a certification that the same are not inconsistent with this Code,”) Attached is a copy of the SEC Certificate stating in part that the By-Laws “was approved by the Commission on this date pursuant to the provisions of Section 48 of the Corporation Code of the Philippines xxx.”

2.       The 2008 By-Laws has not been superseded.

3.       PCCI itself enforced and implemented the 2008 By-Laws in terminating certain members, applying Article VI thereof.

4.       The board of directors at that time was composed of the same individuals who are no longer eligible to be in the Broad.  They are expected to be fully aware of the provisions pertaining to their own disqualification/ineligibility for having completed their 2 consecutive terms and for initiating the amendment of the 2003 By-Laws.

5.       PCCI applied to the letter Article V of the 2008 By-Laws in the conduct of the last general membership meeting and elections of the members of the Board.

6.       PCCI defended the validity of the 2008 By-Laws  in its pleadings at the Regional Trial Court, Br. 93, Quezon City.  It is not PCCI that claims the invalidity of the 2008 By-Laws.  On the contrary, PCCI maintained that the 2008 By-Laws was duly passed by the PCCI Board and its membership and approved by the SEC.

7.       The Court of Appeals rendered a decision affirming the validity of the 2008 By-Laws stating in part: “At that time, all private respondents have either been expelled or suspended and the amended by-laws was already in full force and effect. Xxx”

This decision of the Court of Appeals simply means that the 2008 By-Laws of the PCCI is valid and effective and for as long as there is a status quo or as long as it is not annulled or declared invalid, the 2008 By-Laws is effective and binding and should be applied by PCCI, which it actually did in that case.

PCCI cannot apply the 2008 By-Laws and seek refuge under it to expel members in December 2008 and then use the superseded 2003 By-Laws in the general membership meeting of 2012.  This is not only illegal but insulting to common legal sense.  If this is allowed to happen, PCCI would have no established rules and would not be legally operating as a corporate entity.  As it is, Santos & Co. was intended to unduly favor these individuals who are trying to cling to the office for which they have become ineligible and disqualified.

Santos & Co. cannot invoke the 2003 By-Laws as applicable to the conduct or process of the nomination and elections for the 2012 directors because they themselves know of their ineligibility under the 2008 By-Laws the adoption of which they themselves initiated as directors at that time.  The act, therefore, of inserting the 2003 By-Laws in the election kit smacks of pure misrepresentation designed to distort the election process.

A corporation is governed by it’s By-Laws particularly in terms of its relationship with its members.  At any stage of the life of a corporation, there has to be an effective By-Laws for otherwise, there would be chaos not to mention the violation of the tenets of good governance.

Santos & Co. including the PCCI counsel who is supposed to be lawyer for the Club, cannot argue that the 2003 By-Laws is the law of the Club at this time based solely on the pendency of the court case involving the club and some terminated members.  There is likewise no basis to say that there is no governing By-Laws (or that the 2003 By-Laws is effective) at this time or that everything is to be governed by edicts of the old Board.  This would be ludicrous.

The fact is, the party questioning the 2008 By-Laws is not PCCI but the members who had been terminated on the strength of its provisions, and the PCCI Board used the 2008 By-Laws to terminate them.  PCCI in effect maintained that the 2008 By-Laws is the governing law since its adoption and approval by the SEC. When the case was filed by the terminated members questioning the 2008 By-Laws, PCCI defended it anf finally for the favorable decision of the Court of Appeals.  PCCI effectively affirmed the validity and applicability of its 2008 By-Laws.  PCCI has applied the 2008 By-Laws consistently.

Can the board of directors apply the 2008 By-Laws in one situation and apply the superseded 2003 By=-Laws in another situation?  You and I would know the answer.

As above stated, PCCI applied the provisions of Article V on or before May 19, 2012 specifically such requirements pertaining to the general membership meeting and the voting procedures.  Article V was followed –

                From the organization of the meeting to the order of business,

                Notices, quorum, attendance and voting, voting, proxies, voting by mail,

               Delivery of ballots to the audit firm and rules of order.

All of the election procedures were conducted and election materials printed under and by authority of the 2008 By-Laws.  A;; acts related to the elections were done following the 2008 By-Laws indicating the full recognition by PCCI of its validity and applicability since its approval by the SEC.

Why is it then that Article VII of the same 2008 By-Laws was not applied in determining the eligibility of the candidates for the Board.  Section 7.7 Article V is very clear –

                “No person shall be eligible to serve more than two (2)

                Consecutive terms on the board. A Board members who has served

                More than half a term on the Board is considered to have served a

                Full term.  This section does not preclude the reelection of any

                Person to the Board od Directors after one year or greater hiatus

                from Directorship.  This section shall apply to directors elected during the

                year of approval of this amended By-Laws and to all directors elected

                thereafter.  Thus, the two term limit shall apply and be reckoned from

                2008 for directors elected in 2008 and from 2009 for directors who

                Were elected in 2007 whose original terms of office will expire.”

               

No debate is necessary to know the rationale behind the prohibition.  Obviously, the intention of the members in approving this provision of the 2008 By-Laws is to prevent perpetuation of membership in the Board and to enable the PCCI to have a regular or predictable turn over of directors.

The prohibition against Santos & Co. who have been in the Board for at least four (4) years, from sitting in the Board is stated unequivocally in the 2008 By-Laws and is self-explanatory – a director who has served two (2) consequtive terms is prohibited from serving a new term.  Santos & Co. fall squarely under this prohibition by virtue of which they are no longer eligible to be members of the PCCI Board of Directors.

The prohibition under Section 7.7 is mandatory by the use of “no person shall xxx.” Thus, even if they some out “winners” in the elections, their disqualification or ineligibility cannot be cured because their participation in the elections is expressly prohibited by Article VII.  Section 7.7 of the 2008 By-Laws.  In simple terms, they cannot be elected or they can no longer sit in the Board.

To insist on the applicability of the 2003 By-Laws would be catastrophic.  Under Article V. Section 5.7 thereof, voting can be done only in two ways: either in person or by proxy.  In the last general membership meeting and elections on May 19, members were allowed to vote by mail as provided under the 2008 By-Laws.  In effect, what transpired during the whole election process was an arbitrary and selective application of the By-Laws, an act that now appears as a veiled conspiracy to bend the election rules to secure seats in the Board.  If, therefore, Santos & Co. should argue that the 2003 By-Laws is the present law, the the whole election process collapses because it was conducted under the 2008 By-Laws allowing voting by mail, a procedure that was not permitted under the 2003 By-Laws.

Are we to say now that the rules of PCCI can be twisted and mangled at the whims and caprices of certain individuals?  What kind of club would have not stable governing law?

In view of the foregoing and by virtue of the pertinent provisions of the 2008 By-laws discussed above, I hereby respectfully demand that the above-named individuals desist from assuming the office of members of the Board of Directors and/or exercising the functions of the office.  It behooves honest and self-respecting person like you, valuing “delicadeza” to voluntarily relinquish any claim to the office of the Board of Directors of PCCI you surely know at heart that you are no longer eligible to sit in the board.  Your response will reflect on the strength of your character.

This time the cost of a lawsuit, if it should get to that point, cannot be passed on to the PCCI and will have to be shouldered by the individual respondents.
